ThisAgreementshallbecomeeffective:(i)upontheexecutionanddeliveryhereofbythepartieshereto;or(ii)if,atthetimethisAgreementisexecutedanddelivered,itisnecessaryfortheRegistrationStatementorapost-effectiveamendmenttheretotobedeclaredeffectivebeforetheofferingoftheSharesmaycommence,whennotificationoftheeffectivenessoftheRegistrationStatementorsuchpost-effectiveamendmenthasbeenreleasedbytheCommission.UntilsuchtimeasthisAgreementshallhavebecomeeffective,itmaybeterminatedbytheFundbynotifyingyouorbyyou,asRepresentativesoftheseveralUnderwriters,bynotifyingtheFund.Sample1Sample2Sample3SeeAll(223)SaveCopyRemoveAdvertisingEffectiveDateofAgreement. ThisAgreementshallbecomeeffective:(i)upontheexecutionanddeliveryhereofbythepartieshereto;or(ii)if,atthetimethisAgreementisexecutedanddelivered,itisnecessaryfortheRegistrationStatementorapost-effectiveamendmenttheretotobedeclaredeffectivebeforetheofferingoftheSharesmaycommence,whentheRegistrationStatementorsuchpost-effectiveamendmenthasbecomeeffective.UntilsuchtimeasthisAgreementshallhavebecomeeffective,itmaybeterminatedbytheFundbynotifyingyou,orbyyoubynotifyingtheFund.IfanyoneormoreoftheUnderwritersshallfailorrefusetopurchaseShareswhichitortheyhaveagreedtopurchasehereunderandtheaggregatenumberofShareswhichsuchdefaultingUnderwriterorUnderwritersagreedbutfailedorrefusedtopurchaseisnotmorethanone-tenthoftheaggregatenumberoftheShares,eachnon-defaultingUnderwritershallbeobligated,severally,intheproportionwhichtheaggregatenumberofSharessetforthoppositeitsnameinScheduleIherebybearstotheaggregatenumberofSharessetforthoppositethenamesofallnon-defaultingUnderwritersorinsuchotherproportionasyoumayspecifyinaccordancewithSection7oftheA.G.EdwardsMasterAgreementAmongUnderwriters,topurchaseShareswhichsuchdefaultingUnderwriterorUnderwritersagreedbutfailedorrefusedtopurchase.IfanyUnderwriterorUnderwritersshallfailorrefusetopurchaseSharesandtheaggregatenumberofShareswithrespecttowhichsuchdefaultoccursismorethanone-tenthoftheaggregatenumberofSharesandarrangementssatisfactorytoyouandtheFundforthepurchaseofsuchSharesbyoneormorenon-defaultingUnderwritersorotherpartyorpartiesapprovedbyyouandtheFundarenotmadewithin36hoursaftersuchdefault,thisAgreementwillterminatewithoutliabilityonthepartofanynon-defaultingUnderwriterortheFund.InanysuchcasewhichdoesnotresultinterminationofthisAgreement,eitheryouortheFundshallhavetherighttoSample1Sample2Sample3SeeAll(186)SaveCopyEffectiveDateofAgreement.
