oryApprovalshavebeenobtained;(b)allapplicableregulatorynoticeswhicharerequiredtobepublishedorgivenpriortoconsummationofthetransactionscontemplatedherebyhavebeenpublishedorgiven;(c)thefilingofallapplicableregulatoryreports;and(d)theexpirationofallapplicableregulatorycommentandwaitingperiods.fullypaidinrelationtoashare,meansthatthenominalvalueandanypremiumtobepaidtothecompanyinrespectofthatsharehavebeenpaidtothecompany;InitialDatemeansthedateoftheclosingoftheInitialOfferingoftheCompany.Licensablemeanshavingtherighttogrant,tothemaximumextentpossible,whetheratthetimeoftheinitialgrantorsubsequentlyacquired,anyandalloftherightsconveyedherein.RegulatoryExclusivityPeriodmeanswithrespecttoaLicensedProductinacountry,theperiodoftimeduringwhich(a)CelgeneoranyofitsAffiliatesorSublicenseeshasbeengrantedtheexclusivelegalrightbyaRegulatoryAuthority(orisotherwiseentitledtotheexclusivelegalrightbyoperationofLaw)insuchcountrytomarketandselltheLicensedProduct,or(b)thedataandinformationsubmittedbyCelgeneoranyofitsAffiliatesorSublicenseestotherelevantRegulatoryAuthorityinsuchcountryforpurposesofobtainingRegulatoryApprovalmaynotbedisclosed,referencedorrelieduponinanywaybysuchRegulatoryAuthority(includingbyrelyingupontheRegulatoryAuthority’spreviousfindingsregardingthesafetyoreffectivenessoftheLicensedProduct)tosupporttheRegulatoryApprovalormarketingofanyproductbyaThirdPartyinsuchcountry.WarrantExercisePeriodshallcommence(subjecttoSection6(d)below),onthelaterof:CommercialSalemeansforagivenproductandcountrythesaleforvalueofthatproductbyaParty(or,asthecasemaybe,byanAffiliateorpermittedsublicenseeofaParty),toaThirdPartyafterregulatoryapproval(ifnecessary)hasbeenobtainedforsuchproductinsuchcountry.PatentRightmeans:(a)anissuedorgrantedpatent,includinganyextension,supplementalprotectioncertificate,registration,confirmation,reissue,reexamination,extensionorrenewalthereof;(b)apendingpatentapplication,includinganycontinuation,divisional,continuation-in-part,substituteorprovisionalapplicationthereof;and(c)allcounterpartsorforeignequivalentsofanyoftheforegoingissuedbyorfiledinanycountryorotherjurisdiction.LicenseEffectiveDatemeans,withrespecttoeachComponentSystemoftheLicensedSystemthatCompanyisgiventherighttoaccessanduse,thedateasofwhichtheCompanyisfirstgivensuchrighttoaccessanduse.ValidBusinessReasonhasthemeaningsetforthinSection2.1(b).Commercialsexactmeansanysexactonaccountofwhichanythingofvalueisgiventoorreceivedbyanyperson.
