efinitionandcommitmentoftherespondenttowardsamutuallysuccessful“relationship”betweentheselectedcontractorandHCCforthedurationofthecontract.Respondent’sStatementofQualificationmustincludetheirdefinition,proposalandcommitmenttoforge,fosterandmaintainamutuallysuccessful“relationship”withHCC.Ataminimum,yourresponsemustinclude:TerminationofConsultancymeans:(a)thattheConsultantisnolongeractingasaconsultanttotheCompanyoranAffiliate;or(b)whenanentitywhichisretainingaParticipantasaConsultantceasestobeanAffiliateunlesstheParticipantotherwiseis,orthereuponbecomes,aConsultanttotheCompanyoranotherAffiliateatthetimetheentityceasestobeanAffiliate.IntheeventthataConsultantbecomesanEligibleEmployeeoraNon-EmployeeDirectorupontheterminationofsuchConsultant’sconsultancy,unlessotherwisedeterminedbytheCommittee,initssolediscretion,noTerminationofConsultancyshallbedeemedtooccuruntilsuchtimeassuchConsultantisnolongeraConsultant,anEligibleEmployeeoraNon-EmployeeDirector.Notwithstandingtheforegoing,theCommitteemayotherwisedefineTerminationofConsultancyintheAwardAgreementor,ifnorightsofaParticipantarereduced,mayotherwisedefineTerminationofConsultancythereafter,providedthatanysuchchangetothedefinitionoftheterm“TerminationofConsultancy”doesnotsubjecttheapplicableAwardtoSection409AoftheCode.
